You agree that the Service, all software, hardware, algorithms, all SOCRadar CTI data, methodologies, and other technology used by SOCRadar to provide the Service, and all intellectual property and proprietary rights in all of the foregoing, are the exclusive property of SOCRadar.

Confidential Information

“Confidential Information” means the SOCRadar CTI Data and any nonpublic information regarding our service. You will not use any Confidential Information for any purpose not expressly permitted by these terms and conditions. You will protect the Confidential Information from unauthorized use, access, or disclosure in the same manner as you protect your own confidential or proprietary information of a similar nature and with no less than reasonable care.

Third-party Tools and Services

We may provide you with access to third-party tools and services, which we do not have any control over. You acknowledge and agree that we shall not be liable for any conditions or situations related to your use of third-party tools and services.

You agree that any use of optional third-party tools and services is at your own risk and discretion, and we shall have no liability to the fullest extent. You acknowledge and agree that we are not responsible for any loss or damage that you or other users may incur as a result of the availability of such external sites, content, or resources, or as a result of any reliance placed by you on the completeness, accuracy, or existence of any advertising, products, or other materials on or available from such web sites or resources.

Prohibited Conduct

In addition to the prohibited conducts set in other sections of the terms and conditions, users are prohibited from using the service and its content

• For deceitful, fraudulent, and competitive intelligence purposes.
• For unlawful or immoral purposes.

• To solicit others to engage in any unlawful activity or conduct.
• To decompile, disassemble, reverse engineer or attempt to deconstruct.
• To permit any third party to access and/or use the Service.
• To harass, defame, insult, intimidate, slander, abuse, harm, or discriminate based on gender, sexual orientation, ethnicity, religion, race, nationality, or any disability.

You acknowledge and agree that products, services or technology provided by the U.S. are subject to the export control laws and regulations of the United States.

Indemnification

You agree to indemnify, defend, and hold harmless SOCRadar, parents, subsidiaries, affiliates, officers, directors, and other partners and employees, from and against any and all third-party claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys’ fees and court costs) that such parties may incur as a result of or arising from: (i) your use of our free services, products, and software; (ii) your violation of these terms and conditions; and (iii) your violation of any rights of a third party person or entity.

Severability

Suppose any provision of these terms and conditions is deemed invalid, void, unlawful, or unenforceable. In that case, that provision shall be enforceable to the furthest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these terms and conditions. The validity and enforceability of the remaining provisions shall not be affected thereby.

Termination

The validity of the terms and conditions agreement remains effective until either party terminates it. You can remove the terms and conditions agreement at any time by informing and notifying us that you no longer wish to use our free services and be bound by this agreement.

We reserve the right to terminate or suspend your account and bar access to our free service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. In such a case, you will remain liable for all obligations due up to and including the termination date.

Governing Law

These terms and conditions and any dispute or claim arising out of it or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of the Commonwealth of Virginia, U.S. without giving effect to any conflicts of laws principles that would require the application of the law of a different state and without regard to the United Nations Convention on the International Sale of Goods or the Uniform Computer Information Transactions Act. You irrevocably agree that the state and federal courts located in Virginia have exclusive jurisdiction over any dispute or claim arising out of or in connection with these terms and conditions or its subject matter or formation (including non-contractual disputes or claims), and you expressly consent to the jurisdiction of such courts.

Entire Agreement
